Y Llunwyr ~ The Picturemakers: a collective of artists working near Aberystwyth


1.1 The Group shall be known as: The Picturemakers / Y Llunwyr.


2.1 The Picturemakers / Y Llunwyr is a co-operative of artists based in Mid-Wales, whose objects are to promote, maintain and enhance the visual arts, and to present them to the widest audience possible through the dissemination of the members' art practice.


3.1 There shall be a maximum of 15 full members.

3.2 The collective may also award Honorary Memberships and invite past members to become Resting Members. Honorary and Resting Members do not pay a membership fee, do not attend meetings and do not have a vote, but will feature on The Picturemakers' website and literature if they wish, and may exhibit from time to time on the invitation of the relevant exhibition curator.


4.1 An AGM shall be held at the first Picturemakers’ meeting of the year, normally the second Saturday of January or February. Notice of the AGM (or an EGM) shall be given at least 21 days before the meeting.

4.2 The Constitution and its Standing Orders can be changed only at an AGM or EGM where due notice of the proposed resolutions has been sent to members in advance. Members unable to be present at an AGM or EGM may use a proxy vote on resolutions via the chair.

4.3 Members can call an Extraordinary General Meeting (EGM) at any time if more than 40% of the full members request it.

4.4 Only full members are entitled to attend and vote at meetings, and the quorum for all meetings shall be five such members.

4.5 Every matter, except as specified in Section 3.2, shall be determined by the agreement of the majority of the members present at a meeting. In the case of equality of votes, the Chair shall have the casting vote.

4.6 The following members will be elected at each AGM: Chair, Secretary, Treasurer and Publicity Officer, but officers per se do not constitute a committee as such.

4.7 There may also be an invited and elected President in office who will serve indefinitely.

4.8 Officers will serve from the AGM at which they are elected until the next AGM. They may be re-elected.

4.9 Upon the occurrence of a vacancy for an office that falls between AGMs, the elected member to the vacancy will serve until the next AGM.

4.10 All members are expected to serve as officers at some stage during their membership.

4.11 The officers shall provide and keep accounts of the minutes and finances.

4.12 The Treasurer shall present a report of the accounts for the preceding year at the AGM.

4.13 For each exhibition a member will be designated as Curator.


5.1 Finance shall be obtained from membership fees, determined annually at the AGM, and by any other means deemed suitable.

5.2 There shall be two authorised signatories for accounts, namely the Treasurer and one other of two authorised full members.

5.3 After the deduction of operating expenses, all monies shall be devoted to the objects of The Picturemakers and all sums collected, unless required for immediate purposes, shall be paid into a bank account in the name of The Picturemakers.

5.4 Subscriptions may be paid in full, or by instalments with the agreement of the Treasurer, but any member who has not paid in full or in part after six months from the beginning of the membership year shall be deemed to be no longer a member and shall be notified accordingly.


6.1 In the event of the ‘winding up’ of the collective, the membership fees accrued will be returned to the full members, and any other assets remaining, not the property of any members, shall be donated as determined at the AGM or an EGM to an organisation with similar purposes to the objects of The Picturemakers.
